6.
USAGE OF DATA AND MANNER OF NOTIFICATION 6.1.
Users of certain data from the securities accounts in the Depository shall
be: -
the securities issuers -
the securities holders -
the participants in the operations of the Depository -
Macedonian Stock Exchange AD Skopje -
authorized state bodies and institutions. The
users of data referred to in the previous paragraph shall receive
notifications from the Depository, in accordance with the Law and these
Rules. 6.2.
The securities issuers, depending on the type, manner and deadline for
notification shall receive the following data from the Depository: -
condition and structure of the securities– in total and per each
individual holder; -
every change of the condition and structure of the securities- in
total and per each individual holder (name and surname/firm title, unique
citizen's registration number/registration number, number of securities,
date of change, grounds for ownership change, dividends/interest payment,
securities registered rights or limitations (the shareholders’ book, which
will be sent to the issuer shall contain notifications only about the voting
rights limitations, provided that the limitation is a result of court
decision); -
new securities issue. The
Depository shall submit to the securities issuers the notifications referred
to in the previous paragraph: -
once a year, stating the condition on 31.12 for the previous year, -
upon request of the issuer. The
notifications referred to in paragraph 2, line 1 of this item shall be
submitted within 7 days from the end of the calendar year. The
notifications referred to in paragraph 2, line 2 of this item shall be
submitted within 3 days from the day of submission of request by the
securities issuer. 6.3.
The securities holders, depending on the type, manner and deadline of
notification, shall receive the following data from the Depository: -
condition on the securities account-per each account and issuer
separately, -
every change in the condition of the securities account-in total and
per each issuer separately (number of securities, date of change, basis for
the ownership change, dividend/interest payments, registered rights or
limitations of the securities account), -
new securities issue. The
Central Depository shall submit the notifications to the securities holders
at least: -
once a year, stating the condition on 31.12 the previous year, -
after each change of the securities condition, -
upon request of the securities holder. The
notifications referred to in paragraph 2, line 1 of this item shall be
submitted
within 7 days from the end of the calendar year. The
notifications referred to in paragraph 3, lines 2 and 3 of this item shall
be submitted within 3 days from the day of the change, that is, the
submission of the securities holder's request. 6.4.
The participants in the operations of the Depository shall have the right
for partial or complete insight into their client's account, through the
account operator in the Depository, in accordance with the authorization
given by their client. The
manner and procedure for obtaining the data referred to in the previous
paragraph of this item shall be regulated with special Guidelines of the
Depository. 6.5.
The Stock Exchange, depending on the type, manner and deadline of the
notification shall receive the following data from the Depository: -
condition of the securities-in total and per each individual issuer, -
securities holders with more than 10 % share per each individual
issuer, -
new securities issue per issuer-total, -
unsettled transactions of individual participants in the operations
of the Depository, -
other data related to the operations of the Stock Exchange. The
notifications referred to in paragraph 1, lines 1 and 2 of this item shall
be submitted within 7 days from the end of the calendar year. The
notifications referred to in paragraph 1, line 3 of this item shall be
submitted within 7 days from the end of the calendar year. The
Stock Exchange shall receive the data referred to in paragraph 1, line 4 of
this item through direct electronic connection with the Depository. 6.6.
The Depository shall also submit certain data to the following authorized
state bodies and institutions, in accordance with the Law and these Rules: -
Assembly of the Republic of Macedonia, Government of the Republic of
Macedonia, line Ministries, State Statistics Bureau-general data on
securities issuers – in total, once a year and upon their request, -
National Bank of the Republic of Macedonia, on obtained priority
shares without voting right in a bank, the amount of which exceeds 10
percent of the total shares of the bank, as well as on shareholder who
acquired one third of the amount of the shares with managing right in the
bank. -
Public Revenue Office- on each individual securities holder, upon
their request, -
Securities and Exchange Commission- securities condition (in total
and per each individual issuer), securities holders with share exceeding 10
percent per each individual issuer- once a year and upon their request and
on individual holders for procedures carried out before the Securities and
Exchange Commission, upon its request, -
courts – on individual securities holders in the procedures carried
out before courts, upon their request. 6.7.
The Depository shall submit the data to the entities regulated by law and
these Rules in one of the following manners: -
fax and registered mail, -
by electronic mail, -
on magnetic medium. 6.8.
For the data and notifications provided to the entities referred to in items
6.1 to 6.6. for the services rendered, the Depository shall charge the
beneficiaries certain fee in accordance with the Tariff Book of the
Depository, by submitting an invoice for the services rendered. |
